Terms of Service

These Terms of Service ("Terms") govern your access to and use of JoinIris ("we," "us," "our"), a social media management service that lets users schedule, publish, and analyze content on third-party platforms such as TikTok and Instagram. By creating an account or using JoinIris, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use JoinIris. By using the service, you represent that you have the legal capacity to enter into a binding agreement.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. Notify us immediately at legal@joiniris.dev if you suspect unauthorized access.

3. Connecting Third-Party Accounts

JoinIris connects to third-party platforms (such as TikTok and Instagram) via official APIs and authentication flows. By connecting a third-party account:

• You authorize JoinIris to access and act on the connected account on your behalf, within the scopes you grant.
• You agree to comply with the terms and policies of each connected platform (including but not limited to TikTok Terms of Service and Instagram Terms of Use).
• You may revoke access at any time from within JoinIris or directly from the third-party platform's settings.

4. User Content

You retain ownership of all content you upload to JoinIris ("User Content"). You grant JoinIris a non-exclusive, worldwide, royalty-free license to host, store, transmit, and process your User Content solely for the purpose of providing the service (including transmitting it to third-party platforms on your instruction).

5. Acceptable Use

You agree not to use JoinIris to:

• Violate any applicable law or third-party rights, including intellectual property rights;
• Post, transmit, or schedule content that is unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable;
• Distribute spam, malware, or unsolicited promotional content;
• Circumvent platform rate limits or attempt to evade content moderation systems on connected platforms;
• Reverse engineer, scrape, or copy any portion of JoinIris not made publicly available.

6. Intellectual Property

All software, designs, trademarks, and content provided by JoinIris (excluding User Content) are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use the service in accordance with these Terms.

7. Service Availability and Changes

We strive to keep JoinIris available and reliable but do not guarantee uninterrupted service. We may modify, suspend, or discontinue the service (or any feature) at any time, with or without notice.

8. Termination

You may stop using JoinIris and delete your account at any time. We may suspend or terminate your account if you violate these Terms, abuse the service, or pose a risk to other users or third-party platforms. Upon termination, your right to use the service ceases immediately.

9. Disclaimers

JoinIris is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free, uninterrupted, or that content scheduled through JoinIris will be successfully delivered to third-party platforms.

10. Limitation of Liability

To the maximum extent permitted by law, JoinIris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the service.

11. Indemnification

You agree to indemnify and hold harmless JoinIris and its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, your User Content, or your violation of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service. Continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware.
